Job Summary
The Corporate Governance Lead will be responsible for ensuring that Chairborne GSL operates in compliance with legal and regulatory requirements and adheres to best practices in corporate governance.
Duties and Responsibilities
- Develop and maintain the organization’s corporate governance policies and procedures, ensuring compliance with legal and regulatory requirements.
- Monitor and report on changes in legal and regulatory requirements and assess their impact on the organization’s corporate governance practices.
- Provide guidance and support to the organization’s board of directors and senior management on corporate governance matters.
- Coordinate and facilitate board and committee meetings, including preparing agendas, minutes, and meeting materials.
- Manage the organization’s shareholder relations and investor engagement activities, including responding to inquiries and communicating with shareholders and other stakeholders.
- Oversee the organization’s corporate social responsibility (CSR) initiatives and sustainability reporting.
- Develop and implement training and awareness programs on corporate governance for employees and board members.
- Collaborate with other departments, such as legal, finance, and human resources, to ensure that corporate governance practices are integrated into the organization’s overall operations.
- Ensure compliance with internal policies and procedures related to corporate governance.
- Perform other duties and responsibilities as assigned.
Qualifications
- Bachelor’s Degree preferably in Business Administration, Law, Finance, or a related field. Possession of CGEIT, GRC, or its equivalent will be a plus.
- 10 – 15 years of experience in corporate governance, ideally from a oil & gas industry
- Comprehensive knowledge of corporate governance practices and principles.
- Experience in working with boards of directors and senior management.
